(NYSE:CYR) said it has signed a definitive agreement to acquire Savant Systems, Dallas, Texas, a privately held consulting firm specializing in database and transaction-processing business solutions. The acquisition supports Cray Research's pursuit of the growing commercial market for parallel processing computer systems, according to company officials. Financial terms were not disclosed. Savant Systems is now a wholly owned Cray Research subsidiary renamed Savant/CraySolutions, and will remain based in Dallas. Savant Systems' CEO Jim Hicks and president Terri Campbell-Hicks will direct the efforts of Savant/CraySolutions, said Cray Research chairman and CEO John F. Carlson. Savant/CraySolutions will continue to focus on its consulting business, which includes business systems analysis, design and implementation, large-scale project management, and long- term technical support (outsourcing) services. Savant/CraySolutions will also collaborate in Cray Research's overall pursuit of the commercial parallel processing market for decision-support solutions. As part of Cray Research, he said, Savant/CraySolutions will use its industry expertise, along with its knowledge of Oracle and other relational database management systems (RDBMS), application products and development tools, in crafting leading-edge business solutions. "A critical issue in all industries today is how to manage the huge databases assembled in recent years," Carlson said. "To name just a few, retail, credit card, telecommunications, banking, transportation, entertainment and cable firms have accumulated massive volumes of data from business transactions, but have had no way to efficiently manage, store and analyze these large databases to identify customer buying patterns, credit card fraud, and other information needed for business decisions," he added. "Running RDBMS and transaction- processing software on Cray's open, UNIX-based commercial parallel processing systems can provide this decision-support capability." Industry analysts predict that the market for commercial parallel processing systems will grow to the multibillion- dollar level in this decade, he said. "Cray Research intends to be an important player in this market." He said Cray Research, the global leader in the scientific-technical supercomputer market, brings more than a decade of leadership experience with high-performance, UNIX-based parallel processing systems to the commercial marketplace. The company's main commercial product is the CRAY SUPERSERVER 6400 (CS6400) system, which began shipping in February 1994. This system scales up to 64 SuperSPARC Plus processors, has set industry records for systems of any kind on the audited TPC-B transaction processing benchmark and on SPECrate92 benchmarks run to date. It has been selected to run the United Kingdom census database, International Monetary Fund (IMF) financial statistics, and complex data work at Atlantic Richfield Co. (ARCO); Electricite de France, the world's largest public utility; and an unannounced large consumer products firm, according to Carlson. Cray Research also has strong momentum in the financial industry, with recent system orders for financial analytics applications from Atlantic Portfolio Analytics & Management, Citibank, the Federal Home Loan Mortgage Association ("Freddie Mac"), Fuji Capital Markets Corp., Merrill Lynch and another large Asian-based bank, he said. "This is one of those alliances where the sum is greater than the parts," said Terri Campbell-Hicks. "Cray Research gets a stronger connection to the mindset of commercial firms and to business solutions such as Oracle. Savant is able to pursue larger customers and larger assignments with Cray's name and size behind us. And together, Savant/CraySolutions and Cray Research will be an attractive combination for commercial business opportunities." "The two organizations share a passion for excellence," added Jim Hicks. Carlson said Cray Research's experience with the CS6400 product and with the CRAY T3D, the leading MPP system in the scientific-technical market, will help the company pursue the commercial marketplace. "The Savant acquisition adds an important element. Savant's extensive consulting experience brings to Cray Research business solutions that best meet the needs of the commercial market. Savant is a high-quality, well-respected commercial consultant," he said. A partial list of Savant's clients includes: BP America, Compaq Computer Corp., Martin Marietta, Metropolitan Transit Authority of Houston, Oracle Corp., Pennzoil Exploration and Production Co., and the North Carolina Supercomputer Center. Savant Systems, formed in 1991, employs about 40 people in Dallas and other U.S. locations. Savant is an Oracle Preferred Systems Integrator. Cray Research provides the leading high-performance computing tools and services to help solve customers' most challenging problems. ###
